Terms of Business
Company: Media68 Ltd (Company No. 16714880), Thatcham, UK
Last updated: 13 September 2026
These are Media68's standing terms of business. They apply to every client engagement alongside the project-specific Statement of Work ("SOW") you sign for your build — where the two conflict, the signed SOW takes precedence for that project.
1. These terms and the SOW
Engaging Media68 means agreeing to (a) these general Terms of Business, and (b) a project-specific SOW covering your build's scope, fees, and timeline. The SOW is the source of truth for what's being built and what it costs; these terms cover everything that applies regardless of project.
2. Payment terms
Projects are paid in two instalments unless your SOW states otherwise: 50% deposit before work begins, and the remaining 50% on completion, before final handover/deployment. Payments are collected securely via Stripe. The deposit secures your place in Media68's schedule and covers work-in-progress. It is non-refundable once work has begun (see Cancellation, below). If the final payment isn't received within 14 days of completion being ready for handover, Media68 may pause delivery/handover and access to the finished work until payment clears.
3. Ownership and intellectual property
On receipt of full payment, you own the final delivered project (the specific website, app, or system built for you). Media68 retains the right to showcase completed work in its own portfolio and marketing unless you've asked in writing for it to be kept confidential. Until full payment is received, Media68 retains ownership of the work. Any pre-existing tools, code libraries, or frameworks Media68 uses across projects remain Media68's property and aren't transferred as part of a single engagement.
4. Revisions
The number of revision rounds included is set out in your SOW. Additional revisions beyond that are billed at Media68's standard hourly rate, agreed with you before the work starts.
5. Platform and hosting
Media68 builds primarily on Lovable (lovable.dev), with Supabase or Lovable Cloud as the backend. Some relevant facts about that platform, for your own due diligence: Lovable holds SOC 2 Type I and Type II reports and is ISO 27001:2022 certified. Lovable Cloud offers regional data residency (EU, US, or Asia-Pacific); customer data stays in the selected region. Lovable does not publish uptime/availability guarantees (no SLA), and its own terms exclude liability for indirect or consequential losses, capped at fees paid. Media68 is not the developer of the Lovable or Supabase platforms and accepts no liability for outages, changes, bugs, or issues arising from the underlying platform itself — consistent with the limitations Lovable applies to itself. Media68's responsibility is limited to the work it personally delivers within the agreed SOW.
6. Warranty and liability
Work is delivered with reasonable skill and care, and Media68 will fix defects in delivered work that are reported within 30 days of handover, at no extra charge, where they fall within the original agreed scope. Beyond that, the project is provided "as is." Media68 is not liable for indirect or consequential losses (including loss of profits, business, or data) arising from your use of the delivered project. Media68's total liability for any claim arising from an engagement is capped at the total fees paid for that project. Nothing in these terms limits liability for death, personal injury caused by negligence, or fraud, where such limitation isn't permitted by law.
7. Cancellation
If you cancel before the deposit is paid, there's no charge. If you cancel after the deposit is paid, the deposit is non-refundable and covers work completed or scheduled up to that point. If you cancel after work has begun but before completion, Media68 will invoice for work completed beyond the deposit, calculated pro-rata against the total project fee.
8. Confidentiality
Media68 treats project details, business information, and any materials you share as confidential, and won't disclose them to third parties except as needed to deliver the project (e.g. platform providers) or as required by law.
9. Timeline
Timelines quoted in your SOW are estimates dependent on timely feedback and input from you at each review stage. Delays caused by late feedback, late content/asset delivery, or scope changes may extend the timeline accordingly.
10. Changes to these terms
Media68 may update these general terms from time to time; the version in force at the time you sign your SOW applies to that engagement.
11. Governing law
These terms are governed by the law of England and Wales, and any disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
